1. Definitions
  • Agreement: these Terms of Service.
  • Customer: you or your entity using our Services.
  • Services: TechGrowth’s hosted PBX/UCaaS, SIP trunking, Fax Services, IT & software consulting, software & web development, Business Automation, Marketing Service, and Network Installation/Configuration/Maintenance
  • Content: all materials provided by TechGrowth, including text, graphics, and software.
2. Scope

These Terms apply to all website use, quotes, SMS/email communications (including pre-activation), and Services provided by TechGrowth.

3. Acceptance

By accessing or using the Services, including receiving quotes, invoices, or support via SMS/email, you agree to this Agreement.

4. Account Registration & Accuracy

If registration is required, you must provide accurate, current information, safeguard your credentials, and notify us of unauthorized use.

5. Payment & Billing
  1. Fees & Due Date: All fees are in USD, per signed quote. Invoices are due as stated.
  2. Grace Period: 10 days after the due date.
  3. Late Fee: 1.5% of the balance (or $15, whichever is greater) if unpaid after the grace period.
  4. Service Suspension: If unpaid 30 days after due date, we may suspend service until paid in full.
  5. Account Termination: Balances over 45 days may lead to termination and release of phone numbers.
  6. Reconnection Fees: $25 per line plus past due balances and late fees.
6. SMS & Email Communications

By providing your contact details, you consent to transactional and marketing messages under A2P 10DLC & CTIA. Opt-out via STOP or unsubscribe; HELP for assistance; support@techGrowthSA.com for help.

7. Use Restrictions

You may not use Services unlawfully, spam, infringe rights, or disrupt networks. Violations may lead to suspension or termination.

8. Modification of Services

We may modify or discontinue Services. Material changes will be communicated 30 days in advance via email or website banner.

9. Intellectual Property

All trademarks, logos, software, and Content are our property. No rights are granted except as expressly stated.

10. Confidentiality

Both parties shall keep non-public information confidential. Obligations survive termination.

11. E911 & Emergency Services Disclaimer

Hosted-VoIP may not support traditional 911 in all cases. You must maintain your registered address. We disclaim liability for failures or limitations.

12. Force Majeure

Neither party is liable for delays due to events beyond control (Acts of God, government orders, network outages, labor disputes).

13. Dispute Resolution & Governing Law

Disputes resolved by AAA arbitration unless you opt out within 30 days. Texas law applies; venue in Bexar County courts.

14. Assignment

We may assign rights or delegate obligations to a successor or affiliate. You may not assign without our written consent.

15. Severability & Survival

If any provision is invalid, the rest remain in effect. Payment, confidentiality, IP, disclaimers, indemnity, and dispute clauses survive termination.

17. Limitation of Liability & Warranty Disclaimer

SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY. OUR LIABILITY IS CAPPED AT AMOUNTS PAID IN THE PRIOR SIX MONTHS. WE ARE NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

18. Indemnification

You agree to indemnify and hold TechGrowth harmless from liabilities arising from your breach or misuse of Services.
